JDG vs sp. z o.o. (Poland)
Scope: Poland
JDG and sp. z o.o. are Polish business forms: a sole proprietor is an individual, while a limited liability company is a separate entity. Shareholders generally do not answer for company debts, although separate rules can apply to directors. The legal form alone does not classify FX income as business income or ensure 9% CIT.
Illustrative example
How does it work in practice?
Suppose a trader compares a Polish sole proprietorship with a limited company for a planned activity. They first establish the contracting party and income categories; registration alone does not automatically change how private trades are classified.

Individual and company accounts
In a fictional Polish file, an individual has a private account and a registered company signs a new agreement.
- Separate individual and company contracts and transaction dates.
- Check which party holds each document's rights and obligations.
What follows? Do not assign earlier trades to the company solely because it was registered.
Example boundary: Tax classification requires separate analysis of instruments and activity.
A useful distinction
